Non Disclosure Agreement Between Gimme The Best LLC. and you. This is a letter of agreement between Gimme The Best LLC heretofore referred to as Gimme and you, heretofore referred to as the user.

I, the user, hereby agree that all information and ideas obtained while associated in any way whatsoever with Gimme, it's past, current and future business operations, is, and will remain the sole property of Gimme. Use of any portion of this information, such as, but not limited to, programming, pricing, program features, sales techniques, supply sources, advertising concepts, past, current and future customers, product creation and information, long and short range business plans and ideas, in any way whatsoever, either inside or outside the Gimme company environment, in a way that is not agreed to in writing by all principals and / or owners of Gimme will be considered a breach of this non disclosure agreement by me, the user.

I, also agree not to discuss or disclose any information regarding the above mentioned categories or any activity of Gimme to any individual or organization not part of the Gimme organization not agreed to in writing by all principals and / or owners of Gimme. Nor will I receive any benefits whatsoever from any individual or organization, which profits or benefits from information obtained from me during and after my association with Gimme.

I also agree not to setup, help set up, nor be associated with, in any form or fashion, any operation whatsoever which may be considered a competing or similar business as that of which I was associated while at Gimme, nor to compete with Gimme in any way, form or fashion. I agree to turn over to Gimme any and all data, and information obtained while associated with Gimme upon leaving Gimme with out making, nor taking any physical, electronic or any other type of duplication of information obtained while at Gimme.

I also agree to turn over to Gimme, any and all profits, remuneration of any type, and / or any benefits that I have, may have received, or will receive, directly or indirectly presently, or in the future due to any breach of this agreement on my part. I also agree to supply any and all information gained from me directly and / or indirectly and / or from any source whatsoever of which I am knowledgeable regarding any breach of this contract by any person what so ever. I agree to assist Gimme completely and to the best of my ability in any legal issues, activities, suits, or prosecutions which may occur regarding any breaches of this agreement, by any individual associated or not associated with Gimme.

This agreement is, and/or has been effective as of the first date of association between Gimme and the user. This date is defined as the first date of any type of association with Gimme, it's staff members, or members of their families, which ever comes first.
